Client Agency Service Agreement — Master Terms & Conditions

1. AGREEMENT TO TERMS. This Agreement becomes effective immediately upon submission of any form, payment, or use of Agency services. Client acknowledges that they have read, understood, and voluntarily agreed to all Terms and Conditions contained herein.

2. AGENCY SERVICES. Signature Nannies provides domestic staffing placement and referral services including, but not limited to: Nannies, Baby Nurses, Newborn Care Specialists, Babysitters, Housekeepers, Household Managers, Personal Assistants, Senior Caregivers, Family Assistants, Domestic Couples, Executive Household Staff, and Companion Care Providers. The Agency operates solely as a third-party referral and placement agency.

3. INDEPENDENT REFERRAL STATUS. Client understands and agrees that: The Agency is NOT the employer of any candidate. The Agency is NOT a detective agency. The Agency is NOT responsible for candidate supervision. The Agency is NOT responsible for payroll or tax compliance. The Agency is NOT responsible for household management after placement. The Client shall become the sole and direct employer of any hired candidate.

4. NEW FAMILY REGISTRATION FEE. Client agrees to pay a mandatory non-refundable New Family Registration Fee of $500. This $500 fee is a retainer deposit to start the placement process and is NOT included in or credited toward any placement package. This fee applies toward: Administrative processing, Recruiting efforts, Candidate sourcing, Family onboarding, Scheduling coordination, Placement support, Profile review, Staffing coordination, and Matching services. This fee is separate from and in addition to all placement package fees, payroll, taxes, insurance, background screenings, drug testing, trial compensation, or employment-related expenses.

5. PLACEMENT PACKAGES & FEES. Upon Client approval of a candidate, the Agency shall issue an invoice for the selected placement package plus any applicable taxes. Placement Packages: Essential Placement — $1,500 (Includes 90-Day Replacement Warranty); Premium Placement — $2,500 (Includes 6-Month Replacement Warranty); Full-Time Placement — $3,500 (Includes 12-Month Replacement Warranty). Custom placement packages may be offered at the Agency's discretion.

6. PAYMENT TERMS. The full placement invoice MUST be paid before the candidate's first official working day. No candidate shall begin employment until payment has been fully received and confirmed by the Agency. Accepted payment methods may include: Zelle, Venmo, Wire Transfer, Bank Transfer, and Approved electronic payment methods. Late or unpaid invoices may result in cancellation of services or candidate reservation, and additional fees for loss placement.

7. NON-CIRCUMVENTION OF AGENCY. Client agrees not to hire directly, refer, introduce, recommend, employ, transfer, or share contact information of any Agency candidate to friends, family members, relatives, neighbors, co-workers, businesses, companies, other agencies, or third parties without prior written Agency approval and payment of all applicable Agency fees. This restriction applies during interviews, trials, introductions, active placements, replacement periods, and future communications.

8. CANDIDATE REFERRAL RESTRICTIONS. Client further agrees not to request, solicit, recruit, interview, hire, or obtain from any Agency candidate any friends, relatives, family members, neighbors, co-workers, referrals, personal contacts, or acquaintances for the same position or any different household or business position without prior written Agency consent. Any resulting employment or referral shall remain subject to Agency placement and referral fees.

9. NON-REFUNDABLE SERVICE FEES. ALL AGENCY FEES ARE FINAL AND NON-REFUNDABLE. This includes: Registration fees, Placement fees, Administrative fees, Recruiting fees, Service charges, Retainers, and Onboarding fees. Once Agency services begin, operational and recruiting expenses are immediately incurred and no refunds shall be issued.

10. REPLACEMENT WARRANTY POLICY. The Agency does NOT provide refunds. Instead, Signature Nannies provides replacement support subject to candidate availability, Agency policies, market conditions, and client cooperation. Replacement Coverage: Essential Placement — 90 Days; Premium Placement — 6 Months; Full-Time Placement — 12 Months. If a qualifying placement issue occurs during the active warranty period, the Agency will conduct one replacement search without charging an additional placement fee.

11. WARRANTY PERIOD TERMS. The replacement warranty begins on the candidate's first official day of employment. Replacement requests must be submitted within the active warranty period. After expiration: No refunds, No additional replacements, and No credits shall be provided.

12. REPLACEMENT PROCESS. Client understands that replacement timing may vary depending on candidate availability, market demand, position requirements, scheduling limitations, and seasonal demand. The Agency will use reasonable efforts to provide a replacement candidate as quickly as possible. Replacement communication may occur through email, text message, phone calls, Zoom, or FaceTime. Replacement candidates may differ from the originally hired candidate.

13. CANDIDATE SCREENING. The Agency will conduct preliminary candidate screening including: Identity verification, Reference checks, Interview evaluations, Verified certificates / CPR, Skills assessments, Driving record coordination, and Criminal background screening coordination. Clients are always welcomed and encouraged to independently run their own background check if they feel more comfortable.

14. BACKGROUND CHECKS & DISCLOSURES. Candidates are always subjected to third-party background screening services conducted by a 3rd party company. The Signature Nannies Agency cannot guarantee accuracy, completeness, future conduct, hidden criminal records, or undiscoverable information. The Agency shall not be liable for unavailable, inaccurate, omitted, or undiscoverable information obtained through third-party providers.

15. TRIAL PERIODS. Clients and candidates may mutually agree to participate in paid trial periods prior to final placement confirmation. Unless otherwise agreed in writing: Trial compensation shall be paid directly to the candidate by the Client. Interview scheduling is typically coordinated between the Agency, Client, and candidate. Candidates are expected to confirm scheduling availability back to the Agency, and the Agency will communicate confirmations to the Client. During replacement situations, interviews, trial scheduling, and communication may be arranged directly between the Client and candidate for faster coordination, while remaining subject to Agency Terms and Conditions. Trial periods do not alter, waive, reduce, or refund any Agency fees, placement fees, or service charges. The Agency is not responsible for payroll, taxes, insurance, transportation, injuries, scheduling conflicts, or disputes arising during trial periods.

16. CONFIDENTIALITY. All information shared between the Agency, Client, and candidates shall remain confidential. Client agrees not to disclose candidate information, Agency communications, contact information, screening reports, or internal Agency processes without prior written Agency consent.

17. EMPLOYMENT RELATIONSHIP. The Client shall be the sole employer of any hired candidate. The Agency assumes NO responsibility for: Payroll, Taxes, Workers' compensation, Insurance, Overtime, Scheduling, Employment practices, Paid leave, Benefits, Legal compliance, Household supervision, or Workplace conduct.

18. HOLD HARMLESS & INDEMNIFICATION. Client agrees to fully release, indemnify, defend, and hold harmless Signature Nannies, its owners, affiliates, employees, contractors, staff, and representatives from any claims, damages, liabilities, disputes, injuries, losses, expenses, or legal actions arising from: Candidate referrals, Interviews, Trial periods, Employment relationships, Payroll disputes, Workplace disputes, Candidate conduct, Household incidents, Transportation incidents, Background screening results, Hiring decisions, Terminations, or Injuries or damages occurring during employment. Under no circumstances shall the Agency be liable for any direct or indirect damages, consequential damages, emotional distress, loss of income, property damage, personal injury, employment disputes, or special damages arising from any referral, placement, interview, trial, or employment relationship.

19. NON-DISPARAGEMENT. Client agrees not to publicly defame, disparage, damage, or publish false or misleading statements regarding the Agency online or otherwise. The Agency agrees to reasonably work with Clients toward resolution discussions, replacement support, future collaboration, and service pauses or freezes when appropriate. Replacement candidates are based solely on the pool of candidates available at the time replacement services are requested.

20. GOVERNING LAW & VENUE. These Terms and Conditions shall be governed exclusively under the laws of the State of Florida. Any dispute shall be resolved exclusively in Palm Beach County, Florida.

21. ENTIRE AGREEMENT. These Terms and Conditions constitute the complete and entire agreement between the Agency and the Client regarding all placement and referral services. This Agreement supersedes all prior oral discussions, emails, text messages, advertisements, written communications, negotiations, and understandings relating to Agency services.

22. CLIENT ACKNOWLEDGMENT. By submitting payment, signing electronically, checking an approval box, or using Agency services, Client acknowledges and agrees that they have read this Agreement in full, understand all Terms and Conditions, agree to be legally bound by this Agreement, and accept all Agency policies and procedures.
